SALES POLICY

MediDent Solution LLC limits the sale and distribution of its products and services to licensed dentists and healthcare professionals with established business accounts. Verified dental labs, public and private dental technical schools, government accounts (federal, state, and local), and university accounts may also open accounts by providing the required documentation. All new accounts must undergo a verification process to ensure compliance with state and federal regulations

PAYMENT TERMS

We accept payments through ACH, wire transfer, or credit cards (MasterCard and VISA). Alternatively, your order can be billed to your open account.

To maintain open account privileges, we request that payments be made within the agreed terms. Unless otherwise specified, all sales must be paid by the 15th of the month following the invoice date.

Please make all payments payable to MediDent Solution LLC.

CUSTOMARY RATES and FEES

Minimum Order Charges:

• Orders under $150.00 will incur a flat rate shipping fee of $13.95.
• Orders of $150.00 or more will incur a flat rate shipping fee of $10.95.

LATE CHARGES

A late payment fee will be applied to overdue invoice balances at a rate of 18% per year or the maximum rate permitted by law.

RETURNED CHECKS

A $35.00 service fee will be applied to all returned checks. Returned checks will not be re-deposited, and the customer will be contacted to authorize a new payment.

OPEN CREDIT
MediDent Solution LLC offers open accounts to qualified customers upon receipt and review of a completed credit application. Alternative credit arrangements are available for accounts that do not qualify for open credit.

SHIPPING & HANDLING
Requests for upgraded shipping services will incur additional charges. Orders cannot be shipped as COD.

Products classified as hazardous materials by the Department of Transportation will include a hazardous material fee applied by the carrier for each box shipped.

Orders shipped directly from the manufacturer may also include the manufacturer’s shipping fees.

All shipping and handling charges will be itemized on the invoice

TRANSFER OF TITLE

For shipments to customers in California, the title transfers upon receipt of the goods.

For shipments to all other states, the title transfers to the customer at the point of shipping from our warehouse or the manufacturer’s warehouse.

RETURNS AND ALLOWANCES

MediDent Solution LLC offers a generous return policy for obtaining credits or adjustments for products purchased from us.

To request returns or billing adjustments, please contact MediDent Solution LLC Customer Service at (949)-596-5569, use the “Contact Us” form on our website at www.medidentsolution.com, or coordinate with your Account Manager.

RETURN AUTHORIZATION OF RETURNED ITEMS

To ensure timely and accurate credit, include a copy of the Return Authorization form with the returned items.

QUALIFICATION FOR CREDIT

All product returns and credit requests require prior authorization to ensure credits are promptly applied to the customer’s account. This authorization will be provided as a Return Authorization (RA) number, which must be obtained from MediDent Solution LLC’s Customer Service Department.

MediDent Solution LLC will evaluate returns or credit requests for items listed in our catalog that are in saleable condition or eligible for return under the manufacturer’s current return policy. However, certain products may not be eligible for return due to their nature.

Returns are subject to inspection upon receipt at a MediDent Solution LLC facility, and we reserve the right to deny credit if the returned items do not meet the necessary criteria.

Any order entry or shipping errors will be corrected promptly upon notification. Customers are requested to report such errors within 48 hours of receipt of the order.

Amount of Credit

Credit Amount:

• Credits are determined based on the date of the Return Authorization (RA).
• Corrections for order entry and shipping errors will always be credited at the original invoice price.

Return Timeframe:

• Returns must be made within 90 days of the original purchase date.
• Returns made after 90 days are subject to a 20% restocking fee.

Return Condition:

• All returned items must be in their original packaging, unopened, undamaged, and in re-saleable condition.
• Handpieces and equipment that are opened or used will be repaired or replaced under the manufacturer’s warranty and returned to you.

Full Credit:

• Full credit will be granted for items that can be returned to the manufacturer for full credit.
• Items returned or credited due to product recalls will receive 100% credit, regardless of the invoice date.

Special Circumstances:

• In certain cases, MediDent Solution LLC may directly credit your account instead of requiring the physical return of the product.

Hazardous Materials:

• Items requiring diamond-label hazardous packaging cannot be returned.
• These items must be disposed of in accordance with Federal, State, and/or Local regulations

NON-RETURNABLE/NON-REFUNDABLE

There are certain items that do not qualify for a Return or Credit Refund.

• Personalized and/or imprinted items are not returnable.
• Special Order items are not returnable.

PROP 65 CAUTIONARY STATEMENT

MediDent Solution LLC complies with California’s Proposition 65, the Safe Drinking Water and Toxic Enforcement Act of 1986. This law requires warnings to be provided to California consumers about potential exposure to chemicals identified by the state as causing cancer or reproductive harm. These warnings are designed to help consumers make informed decisions regarding their exposure to such chemicals in the products they use.

EQUIPMENT SALE TERMS AND CONDITIONS

1. The purchaser may be required to make a minimum down payment toward the purchase price, which will be forfeited if the purchaser violates these Terms and Conditions

1. The purchaser must pay the remaining balance by the date specified in the equipment quote and/or finance plan.

1. MediDent Solution LLC will make reasonable efforts to deliver the equipment on the date specified in the order but will not be held responsible for delays beyond its control. Such delays will not constitute a breach of this agreement. If MediDent Solution LLC defaults, the purchaser is entitled, upon request, to a refund of the down payment made under Section 1 as their sole and exclusive remedy

1. MediDent Solution LLC is not responsible for and does not provide any warranty for installation work performed by third parties, nor does it oversee or supervise such work. The company makes no warranties, either express or implied, except as explicitly stated in this agreement. MediDent Solution LLC does not guarantee merchantability or fitness for a particular purpose. Additionally, Equipment Specialists are not authorized to bind the company or provide warranties. Oral statements are not considered warranties and should not be relied upon or regarded as part of this agreement.

1. By signing this document, the purchaser confirms they have reviewed and verified the attached quote, ensuring that all items and quantities are accurate. The purchaser assumes full responsibility for the accuracy of the items ordered. Incorrectly ordered items are not eligible for return. All equipment sales are final.

1. Items designated as “Doctor’s Property” on the final invoice are non-returnable

1. MediDent Solution LLC is not responsible for ensuring that the items listed in the attached quote are compatible with items not included in the quote unless explicitly stated in writing by MediDent Solution LLC.

1. The purchaser is responsible for ensuring compliance with all state regulations related to the use and installation of the equipment.

1. The purchaser is responsible for fulfilling any educational requirements mandated by the manufacturer or state authorities regarding the use and installation of the equipment.

1. In rare cases where MediDent Solution LLC accepts a return of the equipment, a restocking fee may be charged to the purchaser.

1. MediDent Solution LLC will provide service, repairs, and labor, as well as replacement of defective parts, free of charge for 90 days following the installation date of new equipment. After this period, the purchaser must rely on the manufacturer’s standard warranty for any further service needs.

1. MediDent Solution LLC is not responsible for typographical errors in the quote preceding the final invoice for ordered items

1. Costs associated with the following activities are the sole responsibility of the purchaser and are not included in the purchase price unless explicitly agreed upon in writing:

1. Disconnecting and/or reinstalling the purchaser’s current equipment.
2. Alterations or additions to plumbing, electrical, or carpentry work.
3. Government-required inspections, approvals, and associated fees.
4. Union involvement in the installation or delivery process.
5. Removal and disposal of existing equipment.
6. Transportation of donated equipment.
7. Insurance coverage for the equipment.

1. If the purchaser breaches these Terms and Conditions, MediDent Solution LLC reserves the right, in addition to any legal remedies available, to retain the down payment or other payments made by the purchaser as liquidated damages, acknowledging that determining the actual damages incurred by MediDent Solution LLC is difficult, if not impossible. The purchaser also agrees to cover MediDent Solution LLC’s reasonable attorney’s fees and any other costs incurred in enforcing these terms.

1. A 1.5% monthly interest fee (equivalent to 18% annually) will be applied to past due balances.

1. Office plans and mechanical drawings provided by a MediDent Solution LLC representative are the exclusive property of MediDent Solution LLC and may not be used without prior authorization.

1. The equipment order, along with these Terms and Conditions, constitutes the complete agreement between the parties once accepted by an authorized officer or manager of MediDent Solution LLC. This agreement supersedes all prior and concurrent written or verbal negotiations, warranties, representations, and agreements related to the equipment order.

1. Purchasers affirm and guarantee that the name provided on the equipment order is their exact legal name.

1. The purchaser acknowledges that MediDent Solution LLC, or its designee, may file an initial financing statement and any necessary amendments to secure and perfect its interest in the equipment outlined in this order. This security interest will remain in effect until MediDent Solution LLC receives full payment for the equipment.
